Allow me to start out saying I am new to Mod Organizer and things so far simple however...  I have noticed in my mods list there is one labeled as "Overwrite" which case I get a Exclamation with the number 1 next to it.  What am I to do suppose to do with this?  Also, thank you in advance!

"overwrite" is a list of files that are generated by mods during the game play.

Some SKSE Storageutils files for example, or the updated files generated by FNIS.

Just don't worry too much about them (if they are inside SKSE or are related to FNIS.)

Ok so I don't need to "Create Separate Mod" OR place them into other files and or mods?

only if you wanna save very specific profiles, lets say you have a profile with Requiem and its bashed patch and dynamic .esps , and you want another which uses different mods and bashed patch.

tl;dr you will mostly likely never touch it

Not really.

In some rare cases, you may have meshes for armors or bodies, the same for textures, that are patches for regular mods you have.

In this case you MAY want to overwrite these file directly in the folder of the appropriate mod.

But is is a very uncommon case.
